Terms of Service

1. Coverage
These terms apply to use of ads5.com. Services delivered to clients (media planning, buying, creative, CRM) are governed by your signed services agreement and insertion orders, which prevail in any conflict.
2. The site
Site content belongs to Ads5 or its licensors. Client names and metrics appear with permission and within agreed confidentiality. Don't scrape, republish as your own, or probe the site's infrastructure.
3. Services overview
- Scope, channels, KPIs and fees are fixed per engagement document; changes require a written change order.
- Media is bought in client-owned platform accounts unless agreed otherwise; platform terms apply to those accounts.
- Benchmarks and forecasts are estimates, not guarantees — ad markets don't sell certainty, and we won't pretend otherwise.
4. Fees
Management fees are flat or percentage-of-spend as stated in your agreement, invoiced monthly in advance; media spend is invoiced at cost. Net-15 payment terms; late balances accrue 1.5% monthly or the legal maximum. Fees exclude taxes, which are added per applicable law.
5. Your responsibilities
You confirm that your products, claims and supplied materials comply with advertising law in each target market, that you hold rights to all supplied assets, and that consent signals you collect are lawful and accurately passed. Regulated categories (finance, health, alcohol, gambling, under-18 products) need documented compliance sign-off before launch.
6. IP & portfolio
On full payment, you own final deliverables made for you. Ads5 retains ownership of its frameworks, playbooks, benchmarks and anonymized learnings, and may reference the engagement in its portfolio after launch unless agreed otherwise.
7. Warranties & liability
We work with professional care and keep our reporting honest. Beyond that, services are provided "as is" to the extent permitted by law. Neither party is liable for indirect or consequential damages; aggregate liability is capped at fees paid or payable in the prior twelve months, except where liability cannot lawfully be limited.
8. Term & termination
Engagements renew per your agreement. Either side may exit for uncured material breach (30 days' notice). On exit, we deliver account access, asset libraries and a final performance summary; committed media remains payable.
9. Law & contact
